CUSTOM ARTWORK TERMS & CONDITIONS

These Custom Artwork Terms & Conditions (“Custom Artwork Terms”) govern your use of Lemy’s custom artwork and custom printing services (“Custom Artwork Service”), including any service through which you upload, submit, provide, modify, or otherwise supply an image, photograph, artwork, design, text, document, or other content for Lemy to reproduce, print, process, modify, or otherwise use to create a physical artwork or other product for you.

These Custom Artwork Terms are in addition to and form part of Lemy’s Terms of Use, Privacy Policy, Refund/Cancellation Policy, and any other applicable policies published by Lemy. In the event of a conflict relating specifically to the Custom Artwork Service, these Custom Artwork Terms will prevail to the extent of that conflict.

By uploading or submitting any content for the Custom Artwork Service, placing an order based on such content, or otherwise using the Custom Artwork Service, you acknowledge that you have read, understood, and agreed to these Custom Artwork Terms.

If you do not agree to these terms, do not upload or submit any content or use the Custom Artwork Service.


1. CUSTOM ARTWORK SERVICE

Lemy allows customers to submit their own images and other content for conversion into physical artwork.

Depending on the product selected, Lemy may:

  • resize or crop your image;

  • adjust the image to fit the selected dimensions;

  • alter the aspect ratio;

  • adjust positioning, alignment, or composition;

  • make technical colour or exposure adjustments;

  • add or remove borders where technically necessary;

  • convert, compress, or otherwise process the file;

  • prepare the image for printing;

  • apply printing, finishing, framing, mounting, or other production processes; and

  • make other technical modifications reasonably necessary to produce the ordered product.

You acknowledge that the final physical product may not be identical in appearance to the image displayed on your screen.


2. YOUR RESPONSIBILITY FOR UPLOADED CONTENT

You are solely responsible for all content you upload or submit through the Custom Artwork Service.

By submitting content, you represent, warrant, and confirm that:

  1. you own the content; or

  2. you have obtained all necessary rights, licences, permissions, consents, and authorisations required to use, reproduce, modify, print, distribute, and otherwise process the content for the purposes of the Custom Artwork Service.

You further confirm that your submission does not violate any third-party rights or applicable law.

This includes, without limitation, rights relating to:

  • copyright;

  • trademarks;

  • patents;

  • designs;

  • publicity rights;

  • personality rights;

  • privacy rights;

  • moral rights;

  • contractual rights;

  • confidentiality rights; and

  • any other intellectual or proprietary rights.

Lemy does not verify whether you own the content or have obtained the necessary permissions.

You are solely responsible for determining whether you have the legal right to submit and reproduce the content.


3. COPYRIGHT AND INTELLECTUAL PROPERTY

You must not upload or submit content that infringes or may infringe the copyright, trademark, patent, design right, or other intellectual property rights of another person or entity.

For example, you must not submit:

  • photographs belonging to another photographer without permission;

  • artwork belonging to another artist without permission;

  • screenshots or scans of copyrighted works without appropriate rights;

  • movie, television, music, gaming, or sports artwork without appropriate permission;

  • logos, brand assets, or promotional material without authorisation;

  • images downloaded from the internet where you do not have the necessary rights;

  • commercially licensed stock images where your licence does not permit the intended reproduction;

  • copyrighted characters or artwork without appropriate rights; or

  • any other third-party material that you are not legally authorised to reproduce.


4. CUSTOMER RESPONSIBILITY FOR INTELLECTUAL PROPERTY CLAIMS

To the maximum extent permitted by applicable law, you are solely responsible for any claim, complaint, demand, proceeding, loss, damage, liability, cost, expense, or legal action arising from or relating to the content you submit, including any allegation that the content:

  • infringes copyright;

  • infringes a trademark;

  • infringes a patent or design right;

  • violates publicity or personality rights;

  • violates privacy rights;

  • violates moral rights;

  • misappropriates another person’s intellectual property; or

  • otherwise violates the rights of a third party.

You agree that Lemy is not responsible for determining whether you have obtained the necessary rights or permissions.


5. INDEMNIFICATION

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Lemy, its owners, directors, officers, employees, contractors, service providers, affiliates, representatives, and agents from and against any claims, demands, actions, proceedings, damages, losses, liabilities, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. your uploaded or submitted content;

  2. your breach of these Custom Artwork Terms;

  3. your breach of the Lemy Terms of Use;

  4. your breach of any applicable law;

  5. your infringement or alleged infringement of any third-party rights;

  6. your failure to obtain necessary permissions, licences, or consents; or

  7. any allegation that Lemy’s processing, reproduction, printing, or delivery of your submitted content at your instruction violates a third party’s rights.

This obligation survives cancellation, completion, termination, or deletion of your order or uploaded content.


6. PROHIBITED CONTENT

You must not upload, submit, or request the reproduction of any content that, in Lemy’s reasonable opinion, is unlawful, harmful, inappropriate, objectionable, or creates legal, regulatory, reputational, or operational risk.

Prohibited content includes, without limitation, content that:

a. Is illegal

Content that:

  • violates any applicable law or regulation;

  • facilitates or promotes criminal activity;

  • promotes fraud, scams, money laundering, terrorist financing, or other financial crime;

  • facilitates the manufacture, acquisition, sale, or use of illegal goods or services;

  • promotes illegal gambling or betting activities;

  • facilitates evasion of law enforcement or other unlawful conduct; or

  • otherwise encourages, facilitates, or glorifies unlawful activity.

b. Is sexually explicit, pornographic, or obscene

c. Is harmful to children

d. Is hateful

Content that promotes, encourages, glorifies, or advocates:

  • hatred;

  • violence;

  • discrimination;

  • hostility; or

  • dehumanisation

against individuals or groups based on protected or otherwise sensitive characteristics.

e. Is threatening or violent

Content that:

  • makes credible threats of violence;

  • encourages violence;

  • glorifies terrorism or violent extremism;

  • promotes serious physical harm;

  • facilitates violent wrongdoing; or

  • is reasonably likely to create a serious threat to another person.

f. Is defamatory or malicious

Content that unlawfully defames, falsely accuses, threatens, harasses, humiliates, or maliciously targets another individual or organisation.

g. Impersonates another person or organisation

Content that falsely represents itself as being created, authorised, endorsed, or issued by another person, company, government authority, public official, or organisation.

h. Violates privacy

Content that unlawfully reveals, exploits, distributes, or solicits another person’s:

  • private information;

  • personal information;

  • confidential information;

  • financial information;

  • authentication credentials;

  • intimate material; or

  • other information where you do not have the right to use or disclose it.

i. Infringes intellectual property

Any content that infringes or is reasonably suspected of infringing:

  • copyright;

  • trademark;

  • patent;

  • design rights;

  • trade secrets;

  • proprietary rights; or

  • other intellectual property rights.

j. Threatens public order or national security

Content that threatens or promotes conduct against the sovereignty, integrity, security, or public order of India, or otherwise violates applicable Indian law.

k. Contains malicious software

Content containing or intended to distribute:

  • viruses;

  • malware;

  • ransomware;

  • spyware;

  • trojans;

  • worms;

  • malicious code;

  • corrupted files; or

  • other software or technical material capable of damaging, disrupting, compromising, or interfering with systems, networks, or devices.

l. Is fraudulent or deceptive

Content intended to:

  • deceive;

  • defraud;

  • impersonate;

  • misrepresent identity;

  • facilitate scams;

  • manipulate or falsify documents; or

  • otherwise facilitate unlawful or fraudulent conduct.


7. PROHIBITED DOCUMENTS AND MATERIALS

You must not submit documents or images for reproduction where doing so could facilitate unlawful conduct or create legal or security risks.

This includes, without limitation:

  • forged or fraudulent identity documents;

  • forged certificates;

  • forged licences;

  • fraudulent financial documents;

  • fake government documents;

  • forged signatures;

  • fraudulent contracts;

  • documents intended to facilitate fraud;

  • confidential documents belonging to another person;

  • stolen documents;

  • documents containing another person’s private information without authorisation; or

  • any other document that you are not legally entitled to reproduce.

Lemy may refuse to process any document where it reasonably believes the document may be fraudulent, unlawful, unauthorised, or otherwise problematic.


8. RIGHT TO REVIEW AND REJECT CONTENT

Lemy reserves the right, but does not assume an obligation, to review content submitted through the Custom Artwork Service.

Lemy may, at its sole discretion and to the extent permitted by law:

  • reject an uploaded image;

  • reject an order;

  • request additional information;

  • request proof of ownership or permission;

  • refuse to print particular content;

  • cancel an order;

  • suspend or restrict access to the Custom Artwork Service;

  • remove submitted content;

  • delete submitted content; or

  • take any other action reasonably necessary to comply with law, protect Lemy, protect third parties, or enforce these terms.

Lemy is not required to provide a detailed reason for rejecting content where doing so would create legal, security, operational, or other concerns.


9. CANCELLATION FOLLOWING CONTENT REJECTION

If Lemy rejects submitted content before production begins, Lemy may cancel the relevant order.

Where appropriate, amounts paid for an order that Lemy cancels due to content rejection may be refunded in accordance with Lemy’s applicable refund policy.

However, if an order has already entered production, cancellation or refund may not be possible solely because Lemy subsequently determines that the submitted content is prohibited, unsuitable, technically problematic, or otherwise inconsistent with these terms.


10. CUSTOMER CANCELLATION

Because Custom Artwork products are made specifically using customer-submitted content, orders may not be cancellable once production has commenced.

You acknowledge that customised products cannot necessarily be resold or repurposed for another customer.

Any cancellation rights, refunds, or exceptions will be governed by Lemy’s applicable cancellation and refund policy and any rights available to you under applicable law.


11. IMAGE QUALITY AND FORMATTING

You are responsible for providing an image of sufficient quality for printing.

Lemy does not guarantee that an uploaded image will produce a satisfactory physical result if the source file is:

  • low resolution;

  • blurry;

  • pixelated;

  • heavily compressed;

  • poorly exposed;

  • distorted;

  • cropped incorrectly;

  • excessively dark or bright;

  • damaged or corrupted;

  • improperly formatted; or

  • otherwise unsuitable for the selected product dimensions.

Where technically necessary, Lemy may resize, crop, compress, sharpen, adjust, or otherwise modify the image to prepare it for production.

Lemy does not guarantee that the final print will reproduce the exact colours, brightness, contrast, sharpness, or appearance displayed on your device.

Differences between screens and physical printing are normal and may result from differences in displays, colour profiles, inks, materials, lighting, and printing processes.


12. ASPECT RATIO AND CROPPING

You acknowledge that the aspect ratio of your uploaded image may differ from the dimensions of the product you select.

Where this occurs, Lemy may:

  • crop the image;

  • resize the image;

  • reposition the image;

  • add appropriate margins where supported; or

  • otherwise adapt the image to fit the selected format.

You are responsible for ensuring that important portions of your image are positioned appropriately.

Lemy is not responsible for loss of peripheral image content resulting from reasonable cropping required to produce the selected product.


13. CUSTOMER APPROVAL

Where Lemy provides a preview, mock-up, proof, or visual representation before production, you are responsible for reviewing it carefully.

Unless otherwise stated, approval of a preview constitutes confirmation that you accept the displayed composition, cropping, positioning, and other visible aspects of the artwork.

Minor variations may nevertheless occur during physical production.


14. COLOUR AND PRINTING DISCLAIMER

You acknowledge that digital displays and physical prints reproduce colours differently.

Accordingly, Lemy does not guarantee an exact match between:

  • your uploaded file;

  • your device display;

  • any website preview;

  • any digital proof; and

  • the final physical product.

Minor variations in colour, texture, contrast, saturation, sharpness, paper appearance, ink appearance, and finish do not necessarily constitute a defect.


15. NO GUARANTEE OF PERMANENCE

Unless expressly stated otherwise for the particular product, Lemy does not guarantee that printed colours, materials, finishes, or other physical characteristics will remain unchanged indefinitely.

Exposure to sunlight, heat, humidity, moisture, handling, chemicals, cleaning products, and environmental conditions may affect the artwork.

You are responsible for appropriate handling, storage, installation, and display of the finished product.


16. STORAGE OF UPLOADED FILES

Lemy may temporarily store uploaded files and related information for purposes including:

  • processing your order;

  • preparing artwork;

  • manufacturing;

  • quality control;

  • customer support;

  • resolving disputes;

  • preventing fraud or abuse;

  • complying with legal obligations; and

  • maintaining necessary business records.

Lemy does not guarantee permanent storage or availability of uploaded files.


17. DELETION OF UPLOADED FILES

Unless otherwise required by law or reasonably necessary for legitimate business purposes, Lemy may delete uploaded files after the applicable order has been completed, cancelled, rejected, or otherwise closed.

Files may also be automatically deleted according to Lemy’s internal retention procedures.

You should therefore retain your own original copy of every file you upload.

Lemy is not responsible for loss of an uploaded file where the file has been deleted in accordance with these terms or Lemy’s retention practices.


18. CONFIDENTIALITY

Lemy will treat customer-uploaded content as confidential and will not intentionally publish or publicly display your uploaded content merely because you have used the Custom Artwork Service.

However, you acknowledge that uploaded content may need to be accessed by:

  • Lemy employees;

  • contractors;

  • printing and manufacturing partners;

  • technology and hosting providers;

  • logistics providers where necessary;

  • customer support personnel;

  • professional advisers; or

  • governmental, regulatory, or law-enforcement authorities where required or permitted by law.

Such access will be limited to what is reasonably necessary for the relevant purpose.

You acknowledge that no internet-based service can guarantee absolute security or confidentiality.


19. USE OF CUSTOMER CONTENT

Lemy will use your submitted content primarily to provide the Custom Artwork Service and fulfil your order.

Lemy will not acquire ownership of your submitted artwork merely because you upload it.

You retain whatever ownership rights you have in your content, subject to the rights and permissions necessary for Lemy to provide the Custom Artwork Service.

You grant Lemy and its service providers a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, modify, transmit, and otherwise use the submitted content solely as reasonably necessary to provide, fulfil, support, secure, and improve the Custom Artwork Service and comply with applicable law.


20. NO OWNERSHIP TRANSFER TO LEMY

Uploading content does not transfer ownership of your copyright or other intellectual property rights to Lemy.

Likewise, purchasing a physical custom artwork does not necessarily transfer ownership of copyright or other intellectual property rights in the underlying image.

Unless separately agreed in writing, you receive the physical product you purchase, not ownership of the underlying intellectual property contained within the uploaded content.


21. THIRD-PARTY RIGHTS

If your image contains:

  • another person’s photograph;

  • a person’s likeness;

  • trademarks;

  • logos;

  • artwork;

  • photographs;

  • buildings;

  • designs;

  • private property;

  • confidential information; or

  • other third-party material,

you are responsible for obtaining all permissions that may be necessary for your intended use.

Lemy does not guarantee that your intended use of any image is legally permissible.


22. SERVICE AVAILABILITY

Lemy does not guarantee that the Custom Artwork Service will always be:

  • available;

  • uninterrupted;

  • error-free;

  • compatible with every file format;

  • compatible with every device;

  • available in every location; or

  • free from technical failures.

Lemy may modify, suspend, discontinue, restrict, or temporarily disable the Custom Artwork Service at any time, subject to applicable law.


23. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, the Custom Artwork Service is provided without warranties or guarantees beyond those expressly required by applicable law.

You acknowledge that your use of the Custom Artwork Service is at your own risk.

Lemy does not warrant that:

  • the service will meet every subjective expectation;

  • every uploaded image will be accepted;

  • every uploaded file will be printable;

  • the final product will exactly reproduce the source image;

  • the service will be uninterrupted;

  • uploaded files will never be lost or corrupted;

  • the service will be error-free;

  • colours will exactly match the source image or screen;

  • every uploaded image will be suitable for the selected dimensions; or

  • the service will be available indefinitely.

Nothing in these terms excludes any warranty, guarantee, right, or remedy that cannot lawfully be excluded under applicable law.


24. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Lemy shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive losses arising from or relating to your use of the Custom Artwork Service.

This includes, without limitation, losses arising from:

  • uploaded content;

  • copyright or intellectual property disputes;

  • loss of content;

  • loss of data;

  • colour differences;

  • cropping;

  • image quality;

  • technical errors;

  • delays;

  • third-party service providers;

  • inability to process an image;

  • rejection of content;

  • cancellation of an order;

  • temporary or permanent unavailability of the service; or

  • unauthorised access resulting from circumstances outside Lemy’s reasonable control.

To the maximum extent permitted by applicable law, Lemy’s aggregate liability arising from a particular Custom Artwork order shall not exceed the amount actually paid by you to Lemy for that specific order.

Nothing in these terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law.


25. CUSTOMER INDEMNIFICATION

You agree to indemnify Lemy for losses arising from your content or your use of the Custom Artwork Service as described above.

This includes claims brought by third parties alleging that your submitted content infringes their rights.

If a third party makes a claim relating to your submitted content, you agree to cooperate reasonably with Lemy in investigating and responding to that claim.

Lemy may, where appropriate, suspend processing or remove the relevant content while a claim is investigated.


26. LEGAL AND REGULATORY COMPLIANCE

You agree to use the Custom Artwork Service only for lawful purposes.

You must comply with all laws and regulations applicable to:

  • your uploaded content;

  • your use of the finished product;

  • intellectual property;

  • privacy;

  • advertising;

  • defamation;

  • consumer protection;

  • public order;

  • criminal law; and

  • any other applicable area of law.

Lemy may take action where necessary to comply with applicable legal or regulatory requirements.


27. REPORTING AND LEGAL REQUESTS

If Lemy receives a credible complaint, legal notice, court order, governmental request, intellectual property complaint, or other lawful request concerning submitted content, Lemy may:

  • suspend processing;

  • reject the order;

  • remove or delete the content;

  • preserve relevant information;

  • provide information where legally required; or

  • take other steps reasonably necessary to comply with applicable law.


28. NO OBLIGATION TO MONITOR

Lemy does not undertake an obligation to proactively review every image or file submitted through the Custom Artwork Service.

The absence of review does not constitute approval, endorsement, or confirmation that submitted content is lawful or permissible.

Lemy may nevertheless review content where it considers this necessary for safety, legal compliance, fraud prevention, service operation, or other legitimate purposes.


29. TERMINATION AND SUSPENSION

Lemy may suspend or terminate your access to the Custom Artwork Service if you:

  • breach these terms;

  • submit prohibited content;

  • repeatedly submit infringing content;

  • provide false information;

  • attempt to misuse the service;

  • engage in fraudulent activity;

  • create legal or security risks; or

  • otherwise use the service in a manner Lemy reasonably considers inappropriate or unlawful.

Termination does not affect rights or obligations that accrued before termination.


30. SURVIVAL

The provisions concerning:

  • intellectual property;

  • customer representations and warranties;

  • indemnification;

  • limitation of liability;

  • confidentiality;

  • dispute resolution;

  • governing law; and

  • any other provision which by its nature should survive

shall survive cancellation, completion, suspension, termination, or deletion of your order or account.


31. THIRD-PARTY SERVICE PROVIDERS

Lemy may use third-party providers for:

  • cloud storage;

  • image processing;

  • printing;

  • manufacturing;

  • packaging;

  • logistics;

  • payment processing;

  • fraud prevention;

  • customer support; and

  • other services required to operate the Custom Artwork Service.

You authorise Lemy to share uploaded content and related information with such providers to the extent reasonably necessary to provide the service.

Lemy remains responsible for its obligations under applicable law notwithstanding the use of service providers.


32. FORCE MAJEURE

Lemy shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, including:

  • natural disasters;

  • fire;

  • flood;

  • extreme weather;

  • war;

  • terrorism;

  • civil unrest;

  • government action;

  • strikes;

  • labour disruptions;

  • internet or telecommunications failures;

  • cyberattacks;

  • power failures;

  • supply shortages;

  • transportation disruptions;

  • failures of third-party providers; or

  • other events beyond Lemy’s reasonable control.


33. CHANGES TO THESE TERMS

Lemy may update these Custom Artwork Terms from time to time.

Updated terms will become effective when published on the website unless otherwise stated.

Your continued use of the Custom Artwork Service after updated terms become effective constitutes acceptance of the updated terms.


34. GOVERNING TERMS

These Custom Artwork Terms are intended to be read together with Lemy’s:

  • Terms of Use;

  • Privacy Policy;

  • Shipping Policy;

  • Cancellation Policy;

  • Refund Policy; and

  • other applicable policies.

These documents collectively govern your use of Lemy’s services.


35. GOVERNING LAW AND JURISDICTION

These Custom Artwork Terms shall be governed by the laws of India, subject to any mandatory rights or protections applicable to consumers under Indian law.

Any dispute shall be subject to the jurisdiction of the courts and/or legally applicable consumer dispute resolution forums having jurisdiction under applicable law.

Nothing in these terms is intended to deprive a consumer of any mandatory statutory right or remedy available under applicable law.


36. SEVERABILITY

If any provision of these Custom Artwork Terms is determined to be unlawful, invalid, or unenforceable, that provision shall be enforced to the maximum extent permitted by law and the remaining provisions shall continue in full force and effect.


37. ENTIRE AGREEMENT

These Custom Artwork Terms, together with Lemy’s Terms of Use and other applicable policies, constitute the agreement between you and Lemy concerning your use of the Custom Artwork Service.

No failure by Lemy to enforce any provision shall constitute a waiver of its right to enforce that provision later.


38. CUSTOMER ACKNOWLEDGEMENT

By submitting an image or placing an order through the Custom Artwork Service, you expressly acknowledge and agree that:

I confirm that I own the uploaded content or have obtained all rights and permissions necessary to use it for this purpose. I understand that I am solely responsible for the content I submit and for any copyright, intellectual property, privacy, publicity, defamation, or other claims arising from it. I agree to these Custom Artwork Terms and understand that Lemy may reject or cancel an order containing content that it considers prohibited, unlawful, infringing, unsuitable, or otherwise problematic.
